Terms & Conditions — Functional Health Professionals

1. Acceptance of Terms

By accessing or using the website at functionalhealthprofessionals.com, submitting an inquiry, or enrolling in any membership tier offered by Functional Health Professionals, LLC ("FHP," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not access our website or services.

2. Independent Practice Relationship

FHP provides shared infrastructure, administrative support resources, and community access to independent healthcare clinicians and coaches.

No Employer-Employee Relationship: Membership in FHP does not create a partnership, employment, joint venture, agency, or franchise relationship.
Practice Ownership: Each member practitioner operates an entirely separate and independent professional practice. FHP takes no equity, ownership interest, or clinical control over member practices.
Clinical Autonomy: All clinical decisions, patient evaluation, diagnosis, treatment plans, pricing, scheduling, and scope of practice remain solely the professional responsibility of the individual member practitioner.
Legal & Regulatory Compliance: Each independent member practice is individually responsible for maintaining appropriate professional licensure, malpractice insurance, state board compliance, HIPAA compliance, and local business licensing.

3. Shared Infrastructure & Third-Party Platforms

FHP provides configuration, setup, and access to third-party technology platforms (including CharmHealth EHR, Google Workspace, Fullscript, and merchant services):

Platform Access: FHP provides access into the shared FHP Google Workspace environment and shared CharmHealth environment. Members are responsible for their own hardware, internet connection, and any separate individual accounts they choose to maintain independently.
Third-Party Terms: Members must comply with the terms of service of underlying software providers (e.g., CharmHealth, Google, Fullscript). Vendor availability or third-party integration timelines depend on those vendors and are not guaranteed by FHP.

4. Membership Fees & Contributions

Membership fees and operational contributions are detailed on the published Memberships page:

Monthly Dues & Setup Fees: Members agree to pay recurring monthly dues and one-time setup fees associated with their selected tier (Connect, Coach, or Clinician).
Service & Product Contributions: Coach and Clinician tiers include a 5% contribution on collected service revenue and a 3% contribution on products processed through the FHP/Charm payment workflow. Purchases processed outside Charm (such as direct Fullscript dispensary orders) are excluded from the 3% product contribution.
Payment Authorization: Monthly dues and contributions are billed automatically to the member's payment method on file.

5. Intellectual Property & Brand Rights

FHP owns all rights to its name, logo, website design, shared template library, onboarding materials, and operational resources. Members keep full ownership of their own business name, logo, branding, practice content, patient records, and clinical protocols.

6. Termination & Offboarding

Either party may terminate membership according to the notice terms set forth in the member onboarding agreement. Upon departure, members retain complete ownership of their practice brand, client relationships, and patient records. FHP will assist in standard administrative offboarding to export facility chart records as permitted by CharmHealth capabilities.

7. Limitation of Liability & Disclaimer

FHP provides shared infrastructure and guidance "as is" and "as available." FHP does not provide medical care, clinical advice, legal counsel, or financial guarantees. In no event shall FHP, its officers, or employees be liable for any indirect, incidental, or consequential damages arising out of member practice operations or website use.
